We are seeking a highly organised and motivated Company Secretarial Administrator to join our team. The successful candidate will play a key role in ensuring the company meets its statutory and regulatory obligations across multiple jurisdictions, while supporting effective communication and coordination throughout the group.
This role is integral to maintaining the company’s legal and corporate governance framework and providing administrative and compliance support to the Board of Directors across a portfolio of international entities.
Key Responsibilities
1. Legal and Regulatory Compliance
· Ensure the company complies with statutory and regulatory obligations across multiple jurisdictions, including the preparation and filing of required documentation.
· Oversee the maintenance of statutory records and registers in accordance with applicable legal requirements, including registers of members, directors, beneficial owners, and charges.
· Monitor developments in corporate legislation and regulatory requirements across relevant jurisdictions.
· Assist in ensuring that group entities remain compliant with local regulatory obligations.
2. Corporate Governance
· Support the Board of Directors in understanding and fulfilling their corporate governance responsibilities.
· Organise and coordinate board and committee meetings, including preparing agendas, circulating board packs, and recording accurate meeting minutes.
· Maintain records of board resolutions and ensure appropriate documentation of key corporate decisions.
3. Corporate Administration
· Assist with the establishment and maintenance of the group’s corporate structure, including the incorporation, restructuring, and dissolution of entities where required.
· Maintain corporate records, statutory registers, and governance documentation for all group entities.
· Coordinate the issuance of share certificates, share allotments, and share transfers.
· Maintain records of ultimate beneficial ownership and assist local Corporate Service Providers (CSPs) with associated regulatory reporting obligations.
4. Due Diligence and KYC
· Conduct and maintain Know Your Client (KYC) and due diligence checks on directors, shareholders, beneficial owners, suppliers, and other third parties.
· Maintain accurate and up-to-date due diligence records in accordance with internal policies and regulatory expectations.
· Complete due diligence documentation and questionnaires required by financial institutions, regulators, and third-party organisations.
6. Liaison and Stakeholder Coordination
· Liaise with external service providers including lawyers, auditors, regulators, banks, and corporate service providers across multiple jurisdictions.
· Support internal teams with corporate governance and entity management matters throughout the group.
· Assist with bank account openings, corporate documentation requests, and compliance enquiries.
Qualifications and Experience
· A degree in Law, Business, Corporate Governance, or a related discipline.
· A professional qualification such as ICSA , or progress towards such qualification, would be advantageous.
· Proven experience in a company secretarial, corporate governance, or corporate administration role, ideally within a corporate services provider, legal firm, or international corporate group.
· Strong understanding of corporate governance and statutory compliance across multiple jurisdictions.
· Excellent organisational and administrative skills with strong attention to detail.
· Strong written and verbal communication skills.
· Proficiency in digital working environments and corporate governance/entity management systems.
· Ability to work independently, maintain strict confidentiality, and handle sensitive information with discretion.
· A proactive attitude and a strong willingness to learn and develop within the role.
